These Terms and Conditions ("Terms") govern access to and use of the Vital website, dashboard, application programming interfaces, proxy gateways, residential, mobile, and ISP proxy products, generated credentials, subusers and profiles, trials, automatic top-ups, alerts, webhooks, referral features, customer support channels, and related services (collectively, the "Services").
The Services are provided by Vital Innovations LLC ("Vital," "we," "us," or "our"), a Wyoming limited liability company. By creating an account, purchasing a product, accessing a proxy gateway or API, or otherwise using the Services, you agree to these Terms.
These Terms apply to individuals and businesses. Selecting a business account, supplying a company name, or providing a tax or VAT identifier primarily affects billing and tax treatment. It does not create a separate service tier or remove any rights that cannot lawfully be waived.

- Used bandwidth, delivered IP access, automatic top-ups, cryptocurrency payments, and promotional credits are generally non-refundable, subject to the Refund Policy and mandatory law.
- Vital may suspend or terminate access for abuse, fraud, security risk, nonpayment, chargebacks, legal requirements, or violations of these Terms.
- The Services are provided without a general service-level agreement. Performance, availability, locations, pool sizes, and destination acceptance are not guaranteed.
1. Eligibility and Acceptance
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. The Services are not offered to individuals under 18.
You may not use the Services if you are prohibited from doing so under applicable law, sanctions, export-control restrictions, a binding court or government order, or a prior Vital suspension or termination that has not been reversed in writing.
If you use the Services for commercial, professional, organizational, or resale-related purposes, you are treated as a business user for provisions that expressly distinguish business users from consumers. Merely selecting a business billing profile does not by itself prove that you are acting for commercial purposes.
Mandatory consumer protections in your country or state continue to apply and prevail over any conflicting provision of these Terms.
2. Accounts and Security
You must provide accurate, current, and complete account, contact, company, tax, and billing information and keep it updated. We may request reasonable verification where needed for billing, fraud prevention, legal compliance, account recovery, or abuse investigations.
You are responsible for protecting your account password, email account, social-login account, API keys, proxy usernames and passwords, allowed-IP settings, webhook URLs, and other credentials. You must notify us promptly if you believe an account or credential has been compromised.
You may allow employees, contractors, service providers, or other authorized users to access your account or credentials for your purposes. You remain responsible for their activity, their compliance with these Terms, and all usage or charges generated through credentials you control.
You may create and delete supported subusers or proxy profiles to separate credentials, usage, limits, or internal users. These controls reduce operational risk but do not transfer responsibility away from the account holder.
You may maintain more than one paid account, but you may not use multiple accounts, identities, devices, payment methods, Google accounts, IP addresses, or other means to obtain duplicate trials, evade restrictions, conceal abuse, avoid payment obligations, or bypass an account suspension.
3. The Services
Vital provides access to proxy infrastructure and related software features. Available products may include rotating or sticky residential and mobile proxy access, exclusively assigned ISP proxy access, proxy gateways, dashboards, APIs, generated credentials, subusers, usage controls, alerts, automatic top-ups, webhooks, support tools, referrals, and other features described at purchase or in the dashboard.
Product descriptions, checkout details, order confirmations, dashboard settings, and written enterprise agreements may contain additional product-specific terms. You are responsible for reviewing the applicable description and configuration before purchase and use.
Unless a separate written enterprise agreement expressly provides otherwise, the Services do not include a guaranteed service level, uptime commitment, response time, support time, success rate, or service credit.
4. Availability, Estimates, and Changes
Proxy networks depend on upstream providers, carriers, internet routing, destination services, geographic supply, and other systems outside Vital's exclusive control. Availability and performance may change without notice.
We do not guarantee uninterrupted access, any particular IP address, ASN, carrier, city, state, country, pool, provider, protocol, session duration, latency, speed, throughput, concurrency, success rate, block rate, or acceptance by a destination service.
Locations, pool sizes, IP counts, coverage, capacity, response times, success rates, and similar figures shown on the website or dashboard are approximate marketing or operational estimates. They are not a real-time count of active users, active devices, simultaneously available IPs, or inventory guaranteed to be available for your request.
We may add, remove, replace, limit, suspend, or modify gateways, nodes, routes, upstream providers, ports, authentication formats, APIs, SDKs, locations, products, plans, limits, technical requirements, or features when reasonably necessary for security, performance, compliance, supplier availability, maintenance, or product development.
We will use reasonable efforts to avoid materially disrupting paid Services, but emergency, security, legal, upstream-provider, or infrastructure changes may occur immediately.
5. ISP Proxy Products
Exclusive assignment, not ownership
During an active paid ISP term, the assigned proxy IP is intended to be exclusively available through the credentials issued for that allocation and is not intentionally shared with another Vital customer. You receive a limited right to access and use the assigned proxy during the paid term. You do not purchase, own, lease, register, or acquire title to the underlying IP address, network resource, ASN, or infrastructure.
Term and release
An ISP term runs from the purchase or renewal date until the next billing or expiration date shown at checkout, in the dashboard, or in the order confirmation. Terms are commonly approximately 30 days but may differ where expressly stated.
When an ISP term expires, is cancelled, is not renewed, or is terminated, access ends and the IP may immediately return to the available pool and later be assigned to another customer. Credentials may be changed before reassignment.
Replacement
Subject to reasonable verification and availability, an eligible ISP allocation may receive up to one replacement during its paid term if the assigned proxy becomes materially unavailable, materially degraded, or blocked for the represented product use. We may deny a replacement where the issue is destination-specific, temporary, caused by your configuration or traffic, results from prohibited or abusive use, or cannot reasonably be verified.
A replacement ends access to the previous assignment. We do not guarantee that a replacement will have the same IP, subnet, ASN, provider, city, carrier, latency, reputation, or destination acceptance.
Transfers
ISP assignments, credentials, subscriptions, and associated rights may not be sold, transferred, sublicensed, or moved to another account without Vital's prior approval.
6. Bandwidth, Usage, and Balances
Measurement
Residential and mobile bandwidth is measured in bytes as the sum of upload bytes and download bytes transferred through Vital's proxy infrastructure for the applicable subuser or profile. Both directions count toward usage: bandwidth_bytes = bytes_up + bytes_down.
Dashboard values may be aggregated, rounded, delayed, or converted into larger units for display. Small differences may occur because of session finalization, retries, protocol overhead, delayed reporting, aggregation intervals, or upstream-provider reporting.
Usage records
Vital's infrastructure and billing records are authoritative for usage, balances, limits, and charges unless you demonstrate a manifest technical or calculation error. You should report a suspected error to billing@vital-data.io promptly and, where practical, within 30 days of the relevant usage or charge.
Balances and limits
Residential and mobile bandwidth balances do not expire by default. A specific promotion, credit, enterprise order, or product may have a disclosed expiration or usage period that controls for that allocation.
Balances, credits, allocations, subscriptions, and credentials are account-specific and may not be transferred, exchanged, resold, or converted to cash unless Vital approves the transfer or a reseller agreement expressly permits it.
We may enforce purchased bandwidth, concurrency, throughput, geographic, protocol, account, subuser, and security limits. Sessions may fail, stop, or be rejected when a limit is reached or a balance is exhausted.
7. Trials, Credits, Promotions, and Referrals
Unless an offer expressly states otherwise, only one free trial is permitted per person. We may use a linked Google account as a regular sign-in method and as one signal to limit duplicate trials and abuse.
We may deny, delay, modify, suspend, or revoke a trial or promotional benefit if we reasonably suspect duplicate participation, false information, account farming, payment abuse, identity manipulation, circumvention, prohibited use, or other fraud or abuse.
Credits, coupons, referral rewards, trial balances, and promotional value may be used only for eligible Vital products as stated in the applicable offer. They have no cash value, are non-transferable unless expressly stated, cannot be withdrawn, and may be revoked if obtained or used through abuse.
Additional referral-program terms, reward rates, eligibility rules, payout thresholds, reversals, and fraud controls may be displayed in the dashboard or a separate referral agreement. We may reverse rewards connected to refunded, charged-back, fraudulent, self-referred, or otherwise ineligible transactions.
8. Acceptable Use
General responsibility
You may use the Services only for lawful purposes and in compliance with these Terms, applicable laws and regulations, intellectual-property and privacy rights, required permissions, contractual duties, and the rules and policies of destination services.
Web scraping, research, SEO and SERP tracking, price monitoring, ad verification, social-media automation, multiple-account workflows, retail automation, ticket-related automation, and access to geographically limited content are not categorically prohibited, but they are permitted only when your specific activity is lawful, authorized where required, non-abusive, and consistent with the destination service's applicable terms and policies.
Prohibited activity
- Any illegal activity, fraud, deceptive practice, identity theft, impersonation, payment abuse, money laundering, sanctions evasion, or circumvention of a legal restriction.
- Phishing, credential theft, credential stuffing, account takeover, unauthorized authentication attempts, stealing session tokens, or obtaining access to accounts, systems, or data without permission.
- Creating, distributing, operating, or supporting malware, ransomware, spyware, botnets, cryptojacking, malicious scripts, exploit kits, or other harmful code.
- Denial-of-service attacks, traffic flooding, amplification attacks, intentional service disruption, or activity that materially harms Vital, an upstream network, a destination, or another user.
- Port scanning, vulnerability scanning, penetration testing, exploitation, or security testing unless you own the target or have clear authorization from the owner.
- Unsolicited bulk messaging, spam, abusive email or messaging campaigns, fraudulent advertising, fake engagement, or evasion of anti-spam and platform-enforcement systems.
- Harassment, threats, stalking, doxxing, discrimination, abuse, or activity intended to intimidate, harm, or unlawfully monitor another person.
- Child sexual exploitation or abuse material, non-consensual intimate material, trafficking, or any content or conduct that unlawfully exploits or endangers a person.
- Copyright, trademark, trade-secret, database-right, privacy, publicity, or other intellectual-property or personal-right infringement.
- Collecting, buying, selling, disclosing, or processing personal information without a lawful basis, required notice, permission, or other legal authority.
- Circumventing authentication, access controls, account restrictions, paywalls, rate limits, bans, or technical protections in violation of law, authorization, or a destination service's terms.
- Using the Services against banking, payment, government, healthcare, education, emergency, election, public-safety, or critical-infrastructure systems without clear authorization.
- Using the Services in a manner that causes excessive complaints, blacklisting, provider sanctions, network degradation, unreasonable operational burden, or material risk to Vital, upstream providers, destinations, or third parties.
Compliance information
We may request information about your use case, destination categories, traffic patterns, authorization, legal basis, customers, or security controls. Failure to provide reasonably requested information may result in limits, suspension, or termination.
9. Resale and Authorized Users
You may use the Services for your own projects, clients, employees, contractors, or internal teams, provided you remain responsible for all activity and do not misrepresent Vital or the source, ownership, quality, or capabilities of the Services.
Public resale, redistribution, sublicensing, white-labeling, credential sharing with unrelated customers, or operating a downstream proxy service requires a written reseller agreement or other express authorization from Vital.
An authorized reseller must impose enforceable acceptable-use and privacy obligations on downstream users, respond to abuse reports, protect credentials, keep adequate customer records where legally required, and remain responsible to Vital for downstream activity.
10. Orders, Payments, and Taxes
Card payments
Card and supported alternative-payment purchases may be processed through Paddle or Stripe. Paddle may act as merchant of record for Paddle-processed transactions. For Stripe-processed transactions, Vital is the seller and Stripe acts as a payment processor. The provider used for a transaction may affect its checkout, invoice, tax, cancellation, refund, and dispute process. These Terms continue to govern your access to and use of the Vital Services.
Cryptocurrency payments
Cryptocurrency payments may be processed through Cryptomus or another disclosed provider. Blockchain transfers may be irreversible, delayed, underpaid, overpaid, or affected by network fees and exchange-rate movement. A payment is complete only after the required provider confirmation and account reconciliation.
Prices and taxes
Prices, currencies, included usage, billing periods, renewal terms, and applicable discounts are shown at checkout or in an applicable order. Taxes, VAT, sales tax, duties, or similar charges may be calculated and added by Vital, Paddle as merchant of record, Stripe Tax where enabled, or another applicable provider based on the transaction, product, customer location, and billing information.
You are responsible for providing accurate billing country, address, business, and tax-identifier information. A business account or tax identifier does not guarantee tax-exempt treatment.
We may change prices for future purchases and renewal periods. A price change does not retroactively alter a completed one-time purchase. For an existing subscription, we will provide any notice required by law or the applicable payment-provider process before the new price is charged.
We may delay provisioning, decline an order, limit payment methods, or suspend access when a payment is pending, declined, reversed, disputed, under review, suspected to be fraudulent, or inconsistent with account or billing information.
11. Subscriptions, Renewals, and Cancellation
Residential and mobile products
Residential and mobile bandwidth is generally sold as a prepaid one-time purchase. Optional automatic top-ups may create additional charges when your configured rule triggers.
ISP products
An ISP product may be sold as an automatically renewing subscription or as a fixed-term one-time purchase, as disclosed at checkout. An automatically renewing ISP subscription renews for the period shown at checkout until cancelled.
A one-time ISP purchase ends at its expiration date and does not renew automatically. You may manually purchase or renew another term, subject to payment, product availability, and the continued availability of the same IP.
Cancellation
You may cancel an automatically renewing subscription through the Vital dashboard, the applicable Paddle or Stripe billing portal, or another cancellation method made available with the purchase. Cancellation normally takes effect at the end of the current paid billing period, access continues until that time, and no further renewal charge should be taken.
Cancelling a subscription does not reverse a charge already completed, create a prorated refund, or restore an IP after the paid term ends. Mandatory cancellation and refund rights remain unaffected.
You are responsible for cancelling before the renewal charge if you do not want the next term. Renewal terms and any legally required notices will be provided through checkout, the order confirmation, email, the dashboard, or the payment provider.
12. Automatic Top-Ups
When you enable an automatic top-up rule, you authorize the applicable merchant or payment provider to charge the saved payment method for the refill amount when the configured balance or usage condition is detected, subject to any monthly limit and settings you selected.
You are responsible for reviewing the threshold, refill amount, plan, saved payment method, currency, monthly limit, and activation status. You may disable or edit supported rules in the billing area of the dashboard.
We generally send an account or email notification when a rule triggers or a charge fails. Notification delivery may be delayed, filtered, or unavailable and is informational only. The authorization to charge does not depend on successful delivery or receipt of a notification.
Disabling a rule does not reverse a charge that was already triggered or submitted. A failed top-up may be retried where permitted by the payment provider and applicable law, and access may stop when the remaining balance is exhausted.
13. Refunds, Reversals, and Chargebacks
Refund eligibility and procedures are governed by the Refund Policy displayed on the Vital website. Paddle-processed transactions may also be subject to Paddle's applicable buyer terms and merchant-of-record refund process. Stripe-processed refunds are authorized by Vital and processed through Stripe. Mandatory statutory withdrawal, cancellation, conformity, or refund rights remain unaffected.
Except where the Refund Policy or applicable law requires otherwise, used or allocated bandwidth, delivered or activated ISP access, elapsed subscription time, automatic top-ups, cryptocurrency payments, promotional credits, referral rewards, and partial billing periods are non-refundable.
A payment dispute or chargeback does not itself establish refund eligibility. We may suspend or terminate affected accounts, revoke credits and products, preserve relevant records, respond to the payment provider, and restrict future purchases while a dispute is pending.
Where legally permitted, you are responsible for payment-provider fees, collection costs, and reasonable expenses caused by a fraudulent, abusive, or knowingly improper chargeback or payment reversal.
14. Intellectual Property and Feedback
Vital and its licensors retain all rights, title, and interest in the Services, website, dashboard, software, APIs, SDKs, documentation, designs, branding, trademarks, databases, configurations, and other materials, excluding content or data that you lawfully own.
Subject to these Terms and payment of applicable fees, Vital grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services during the applicable account or product term.
You may not copy, sell, license, distribute, reverse engineer, decompile, bypass, scrape, or exploit the Services themselves except as expressly permitted by law, documentation, an open-source license, or written authorization.
If you provide suggestions, ideas, or feedback, you grant Vital a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or payment, provided we do not publicly identify you as the source without permission.
15. Third-Party Services, Destinations, and Upstream Networks
The Services interact with payment providers, authentication providers, support tools, analytics services, hosting providers, upstream proxy and network providers, carriers, internet services, and destination websites or applications that Vital does not control.
Vital is not responsible for the availability, accuracy, legality, policies, security, content, decisions, bans, rate limits, technical changes, or acts or omissions of a third party. Your use of a third-party service may be governed by separate terms.
Live chat is provided through Crisp for customer-support communications. Crisp may process the contact, message, conversation, and technical information described in our Privacy Policy. Making live chat available does not create a guaranteed response time, service level, or continuous support obligation unless Vital agrees otherwise in writing.
A proxy connection does not give you permission to access, collect, copy, automate, or process anything that you would not otherwise be legally and contractually permitted to access or use.
16. Monitoring, Investigations, and Enforcement
We may use account, payment, device, connection, usage, destination-hostname, provider, complaint, and security information to operate the Services, measure usage, detect fraud and abuse, investigate incidents, enforce these Terms, and protect Vital, users, networks, destinations, and third parties.
We may investigate complaints and cooperate with upstream providers, payment providers, destination services, professional advisers, regulators, courts, law enforcement, and other authorities. We may preserve or disclose information where reasonably necessary and permitted or required by law, contract, security needs, or abuse-response obligations.
For a less urgent or remediable issue, we may provide a warning or request corrective action through email, live chat, or a dashboard notice. A warning is not required before action where we reasonably believe immediate restriction is necessary.
We may throttle, filter, block, rotate credentials, disable a subuser, revoke a trial or credit, hold an order, restrict a location or destination, suspend an account, or terminate access in our reasonable discretion for a suspected violation, fraud, nonpayment, chargeback, security risk, legal request, upstream-provider requirement, excessive complaints, network harm, or other material risk.
You may request review of a suspension or termination by emailing support@vital-data.io. We may request information needed to investigate and are not required to restore access where doing so would create legal, security, payment, operational, or third-party risk.
17. Termination and Account Closure
You may stop using the Services at any time and may request account closure through support. Closing an account does not automatically cancel an external subscription unless the cancellation is completed through an available cancellation method or confirmed by us.
We may terminate or close an account as described in these Terms. A person whose account has been suspended or terminated may not create or use another account to bypass the restriction without Vital's written permission.
When an account is closed or terminated, product access, credentials, subscriptions, allocations, unused balances, promotional credits, and referral benefits may be revoked and removed without compensation, except where the Refund Policy, a separate written agreement, or applicable law requires otherwise.
We may close a free account after at least six months of inactivity. Where practical, we may send notice to the account email before closure. Activity may include a login, purchase, active product, active paid subscription, proxy use, API use, or support interaction.
Provisions concerning payment obligations, ownership, acceptable use, investigations, disclaimers, liability, indemnification, disputes, and any terms that by their nature should survive will remain effective after termination.
18. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." Vital disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, compatibility, security, and results.
We do not warrant that any IP will remain available, retain a particular reputation, avoid blocks or bans, reach a destination, produce a particular result, or meet your speed, latency, throughput, concurrency, geographic, automation, data-collection, or business requirements.
We are not responsible for destination-site restrictions, account bans, changed APIs or websites, CAPTCHAs, upstream failures, internet routing, carrier behavior, lost or interrupted sessions, changed IPs, customer software or automation failures, lost data, or actions taken by a third party.
No statement by support, marketing, documentation, a reseller, or a community member creates a warranty or service-level commitment unless it is expressly included in a written agreement signed by Vital.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.
19. Limitation of Liability
To the fullest extent permitted by law, Vital and its owners, officers, employees, contractors, affiliates, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, savings, business, opportunities, goodwill, data, or use, even if advised that such damages were possible.
To the fullest extent permitted by law, the total aggregate liability of Vital and the related parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of one hundred US dollars (US $100) or the fees paid for the affected Services during the three months immediately preceding the event giving rise to the first claim.
The exclusions and cap apply regardless of the legal theory and collectively to all claims. They do not limit liability that cannot lawfully be limited, which may include liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights, depending on applicable law.
20. Indemnification
If you use the Services for business, commercial, professional, organizational, resale, or client purposes, you will defend, indemnify, and hold harmless Vital and its owners, officers, employees, contractors, affiliates, suppliers, and licensors from third-party claims, investigations, losses, liabilities, penalties, damages, judgments, and reasonable legal costs arising from your traffic, data collection, content, customers, authorized users, credentials, breach of these Terms, unlawful conduct, infringement, privacy violation, misuse of a destination service, or failure to obtain required authorization.
Vital will provide reasonable notice of an indemnified claim where practical. You may control the defense with counsel reasonably acceptable to Vital, but you may not settle a claim in a manner that admits fault by Vital, imposes obligations on Vital, or fails to fully release Vital without our written consent.
For a consumer, this section applies only to the extent permitted by applicable law and only to losses fairly attributable to that consumer's unlawful, fraudulent, intentional, or materially breaching conduct.
21. Force Majeure
Vital is not liable for delay, degradation, interruption, or failure caused by events beyond its reasonable control, including upstream-provider or carrier failure, internet or routing failure, denial-of-service attack, cyberattack, utility outage, hardware failure, natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, labor dispute, government action, sanctions, legal restriction, supply shortage, or failure of a third-party platform.
This section does not excuse an obligation to pay amounts already due for Services delivered before the force-majeure event.
22. Governing Law and Disputes
Informal resolution
Before starting formal proceedings, you and Vital agree to send written notice describing the dispute, requested relief, and relevant account or transaction and to attempt in good faith to resolve it for at least 30 days. Notices to Vital must be sent to legal@vital-data.io. This requirement does not prevent urgent injunctive relief, a legally protected complaint to an authority, or a claim that would expire during the notice period.
Governing law
These Terms and disputes arising from them are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of your habitual residence.
Consumers
A consumer is not required by these Terms to arbitrate. After the informal-resolution period, a consumer may bring an eligible claim in a court with lawful jurisdiction, including an available small-claims court. Nothing in these Terms limits a consumer's right to contact a regulator, consumer-protection body, or other competent authority.
Business users
A dispute between Vital and a business user that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English by one arbitrator. The legal seat will be Casper, Wyoming, although hearings may be conducted remotely or at another agreed location.
Business claims must be brought in an individual capacity and not as a class, collective, consolidated, or representative proceeding, except where the parties agree otherwise in writing. Either party may seek temporary or injunctive relief in a court with jurisdiction to protect intellectual property, confidential information, account security, networks, or systems pending the arbitration.
If the business-arbitration provision is found inapplicable or unenforceable for a dispute, the state and federal courts located in Wyoming will have exclusive jurisdiction to the extent permitted by law, and each business party consents to personal jurisdiction and venue there.
23. Changes to These Terms
We may update these Terms to reflect changes to the Services, products, providers, pricing structures, security practices, legal requirements, or business operations. The updated version will show a revised "Last updated" date.
For a material change, we will provide reasonable notice by email and may also provide notice through the dashboard or website. A materially adverse change to an existing paid subscription will normally apply no earlier than the next renewal period unless an earlier change is reasonably necessary for law, security, abuse prevention, provider requirements, or continued service operation.
By continuing to use the Services after the effective date of updated Terms, you accept the updated Terms. If applicable law requires affirmative consent, we will request it. If you do not agree to an update, you must stop using the affected Services and cancel future renewals before the change takes effect.
24. General Terms
Related policies and order of precedence
The Refund Policy and product-specific terms presented at checkout or in an order are incorporated into these Terms for their stated subject matter. The Privacy Policy explains how Vital handles personal information but does not reduce rights provided by applicable privacy law.
If terms conflict, the following order generally applies: a separately signed enterprise, reseller, or negotiated agreement; an applicable signed order form; product-specific checkout or order terms; these Terms; and the Refund Policy for refund-specific matters. Paddle's buyer terms separately govern Paddle's merchant-of-record transaction to the extent applicable, and provider checkout disclosures may separately govern use of the provider's payment interface.
Entire agreement
These Terms and the incorporated documents form the entire agreement between you and Vital concerning the Services, except for a separate written agreement that expressly supplements or replaces them.
Assignment
You may not assign or transfer these Terms, an account, or a product without Vital's prior written consent. Vital may assign these Terms to an affiliate or in connection with a merger, financing, reorganization, sale of assets, or similar transaction.
Severability and waiver
If a provision is found unenforceable, it will be enforced to the maximum lawful extent or modified as necessary, and the remaining provisions will remain effective. A failure or delay in enforcing a provision is not a waiver.
No third-party beneficiaries
Except for parties expressly protected by the disclaimer, liability, or indemnification sections, these Terms do not create rights for any third party.
Electronic communications
You agree to receive agreements, notices, receipts, billing messages, security notices, and other service communications electronically, including by email or dashboard notice. You are responsible for keeping your account email current.
Language
The English version controls if a translation differs, except where applicable law requires otherwise.
Relationship
These Terms do not create an employment, agency, partnership, joint venture, franchise, fiduciary, or exclusive relationship between you and Vital.
